Terms & Conditions
Web Design
1) All web projects require a 40% deposit at the start of the project. The remaining balance is due on completion. On payment of the final amount your site is then switched on for all to see on your chosen domain.
2) All deposits are non refundable as they represent the initial planning time taken for your project. Where we have been awaiting proof response or required content for your project for over 6 weeks, we shall bill for the percentage of the project that has been completed.
3) All quotes are valid for 30 days
4) Payments can be made by direct bank tranfer.
6) Sites will be developed within a closed environment so the site can be seen before it goes live. This allows clients to see the site develop and give comment before the site is seen by the WWW.
7) It is the responsibility of the client to check that material supplied for the inclusion in a web design is free from any copyright restrictions and is able to be used in the design.
8) All client provided materials remain under ownership of the client and as such clients grant Noise Media permission to use the materials supplied within design products for the client.
9) Noise Media can not be responsible for any clients breach of copyright, nor will noise media be involved in any dispute with regard supplied materials. Clients agree to indemnify noise media from any disputes or claims - legal or otherwise, with regards to content (textual or image/video) on clients websites.
10) Stock images provided by Noise Media for web designs/designs are only for use within the supplied design, for the intended use of that design. If you require the stock image for use outside of our designs contact us and we can inform you of the source of the image so you can obtain the correct permissions for re-using the image.
11) Noise media reserve the right to adjust a quote if a project demands or specification change or differ from initial discussion and customer requirement.
12) During design your website will be tested on laptop/desktop/tablet and phone browsers that are current at the time of design, though we can not guarantee that your website will display exactly the same in out of date browsers, environments that restrict certain web technologies, or every single browser/system related combination. Where browser updates and technology changes may effect admin panels/CMS controls or website layouts we shall, within a customers first year, endevour to provide a solution to allow normal usage of the site and admin panel. Outside of the first year we would expect the adjustments to be made as part of the websites general maintenance or updating that a website would need to keep on top of web technologies.
13) During completion of your website you will be informed of how any web forms or emails may work and a test will be run through to show you how these work. It is the clients responsibility to ensure they keep any intial emails set up on new devices and follow any instruction in relation to how forms work and are forwarded. Clients are responsible for their own email set up and as such should periodically ensure they are using the correct emails and if using external email services need to ensure any communications from their website is not blocked.
14) As the charge for web design is one built up of 'time' spent - any changes of direction or change in project aims by a client may incur costs over any initial quote. A fresh estimate will be provided for any extra work in this case.
15) Clients are able to review website contents and any CMS or web shop system before they are switched on and have the invoicing period of the final invoice to inform Noise media of any adjustments that need to be made. On payment of a final invoice the project is deemed complete.
16) Additional work to websites once compete is classed as either a minor adjustment or a new project in which case it would incur the relevant charges based upon a time estimated quote
17) In developing webshops we offer clients a popular named shop system (usually woocommerce). The system used will be made clear at the start of a web project and your acceptance of our quote signifies you are happy with the system used/its required update requirements and offerings in terms of payment facilities and security. Noise media cannot be responsible for losses due to errors in scripts or websites built with these shop systems but as your web designer works with you alongside these recognised systems. It is advised to keep on top of updates with our vip monthly service.
18) In developing websites we offer clients a CMS based on their requirements. Noise media cannot be responsible for losses due to errors in scripts or websites built with third party CMS's (such as Wordpress) but as your web designer works with you alongside these recognised systems. It is advised to keep on top of updates with our VIP monthly service if your website is critical. The VIP service takes your updates one step further than standard 'visual' or 'content' and ensures the system your website uses is actively monitored and updated for website resiliance. If your website has only received visual adjustments without a major CMS update for a long time we can offer an assesment of what is required to bring things up to date for you.
Web Hosting & Email
1) Zero spam policy - email accounts must not be used for spamming activities, this includes (but is not limited to) unsolicited emails, bulk emails for marketing purposes, using email accounts to market emails gathered on bulk database services or sending junk. Breach of these rules will result in account deactivation and in the event of your account resulting in an IP blacklist mark, you agree to pay noise media a 'cleanup' fee. This fee is at total discretion of noise media and will be the charge for time and fees for cleaning up any IP.
2) Email accounts unused for a period of 100 days may be deactivated to ensure the integrity of security both for our system and your own security. (Typically email unused for this period are unlikely to be monitored - unchecked emails represent a security issue as users may be unaware of emails being sent/received)It is the account holders responsiblity to ensure their systems are clean and secure, both for email use and logging in to any hosting accounts or admin panels provided by noise media.
3) Our website hosting is offered purely in support of us providing your web design services.
4) We do not provide soley hosting services to clients to use outside of designs we have provided
5) -In providing hosting we will use hosting partners to provide and manage server/hosting related services.
6) In providing hosting we aim to provide a service that offers a high uptime for your website, though we do not offer mission critical hosting and by the nature of the business of hosting there are many technical issues that can arise. We are unable to offer a SLA (Service level agreement) - If these are necessary for your business we can work with a provider you have chosen directly.
7) - Your website may experience down time due to planned or emergency server maintenance, overusage of server resources by your account, or conditions beyond our reasonable control such as emergency server maintenance or DDoS or other technical issues.
8) -When any incident relating to downtime occurs you agree to allow us (Noise media) time to rectify the matter with our hosting partners. We will under no circumstances whatever be liable to you, for any loss of profits, sales, business, or revenue;loss or corruption of data, information or software;loss of business opportunity;loss of anticipated savings;loss of goodwill; or any indirect or consequential loss.
9) -Our total liability to you in respect of all other losses arising under or in connection with the provision of hosting shall in no circumstances exceed the price of the hosting Services.
10) Our hosting terms and conditions may vary from time to time and the Noise media website will always have an up to date version at noisemedia.co.uk/terms.html. We reserve the right to offer higher levels of service where sites demand more bandwidth and space than allocated.Hosting charges are made for 1 year upfront.
11) Current packages Account allocation - shared space for website, bandwidth limited to fair usage of allocated space on server allowance. Server memory and I/O performance restriction apply on a per account basis, typically 10% of total server usage as per our hosting partners terms.
12) Force Majeure Events. Noise media will not be liable for, or responsible for non access to web hosting or email services, or loss of data due to Force majeure events (events out of the reasonable control of ourselves and our hosting partners) This includes, attacks of any kind to the hosting platform, infections, powers cuts, any form of industrial action, civil unrest of any kind, war or threat of war, storm, fire explosion or flood or any natural disaster of any kind, epidemic or pandemic such as COVID-19, impossibility of people to access the internet or networks, government restrictions, legislation acts and decrees. Any act of force Majeure would bring an end to our contract with yourself
13) It is your responsibility to back up your own emails - in event of a data loss of your emails due to any reason, we will under no circumstances whatever be liable to you, for any loss of profits, sales, business, or revenue;loss or corruption of data, information or software;loss of business opportunity;loss of anticipated savings;loss of goodwill; or any indirect or consequential loss in relation to lost emails.
14) Noise media will provide access to your email service on the server - but can not set up the email on your computer system for you - Noise Media will provide you with all the settings required to set up email in any email client/phone but it is either your/your IT supports resonsibility who know your systems to physically set it up. We can also set up your domain to point to your own email server/outlook 365 if you use these also.
Design & print
1) For design and print orders, 50% of the order total is due to start the design and print process. Once the initial design is complete, the remaining 50% of the order total is due before print. Where a print price is not yet set/know 50% deposit of the design price will be paid to start proceedings, with the remaining 50% design fee due on design sign off. Print costs are charged before an item is sent to print.

4) Smaller priced items will be charged at the start for design/print.Payments can be made both electronically (credit debit card via secure email invoice payment - please ask for details) or by cheque, or cash. All payments should be made to Noise Media.
5) You will at every stage of the design process be sent a pdf on-screen proof of your design. If you require an alteration, Noise media will make the alteration and send you another screen proof PDF, until you are happy with your design. Once print approval has been given and the item is in print, any further changes will incur extra cost as it will allready be at the printing press in process - so check your proof carefully and only ok the design when you are sure all the information is correct (including telephone numbers, your content and offers, addresses etc.)

8) Clients agree that print colours may differ between print runs - and that screen representation of colours may differ from actual printing colour tones due to the inherant inacurracies of a screen being able to correctly represent the CMYK colour print process.
